Background Information:
Finance Trust is one of the oldest Microfinance Institutions in Uganda having started its operations in 1984. The company is licensed and regulated by Bank of Uganda as a Microfinance Deposit Taking Institution (MDI) and is recognized as a key player and part of Uganda's formal financial sector.
The company has one of the largest branch networks in Uganda with 31 interconnected branches strategically positioned allover the country and serves over 200,000 customers with a variety of savings and loan solutions including business loans, salary loans, school fees loans, savings accounts, fixed deposits and a money transfer service through Western Union, MTN Mobile Money, Warid Pesa and M-Sente. In order to meet the needs of its growing customer base, the company is seeking to recruit dynamic, self motivated, result oriented professionals to fill the following positions:
1.            Company Secretary/Head of Legal Services (1 Position)
Job Purpose
To provide legal services to the Board and Management and to ensure that the bank achieves its business objectives in conformity with corporate governance best practices.
Key Responsibilities
·         To prepare agenda and materials for Board meetings & Annual General Meeting (AGM) in consultations with the Board Chairperson and the Managing Director.
·         To accurately record minutes of Board Meetings, Committee Meetings & AGM.
·         To ensure that Board policies and decisions are conveyed to the relevant departments of the Bank for them to efficiently carry out their responsibilities.
·         To update the shares membership register, make annual returns and register any document which has copyrights provision under the Intellectual Property Act and comply with all the provisions in other laws relevant to the Banking Industry.
·         To bring to the attention of Directors all the laws and regulations relevant to their oversight role for the Bank.
·         To support business growth by providing cost effective legal advice to the Board and Management.
·         To ensure that all contracts and agreements are kept in safe custody.
·         To lead, motivate and develop the Legal team to deliver excellent legal services that support the achievement of the overall Company Mission and Business Plan.
·         To monitor external legal services and ensure effective representation of the Bank in the Courts of Law.
·         To ensure compliance with Bank's memorandum and articles of association.
Minimum Requirements
·         Honors Bachelor Degree in Laws gained from a recognized university.
·         A post graduate Diploma in Legal Practice;
·         A Master Degree in Laws (LLM), Business Administration or any other relevant post graduate qualification gained from a recognized university.
·         Must be an enrolled advocate for at least seven (7) years.
·         Membership to ICSA will be an added advantage. Seven (7) years working experience from a financial institution or any other corporate institution with at least three (3) years at a senior management level. Must have demonstrated experience in Company Secretarial practices and corporate governance.
·         Must have a sound understanding of the Uganda Banking and Mortgage industries.
·         Good interpersonal & teamwork skills.
·         Good leadership skills with a high sense of maturity. Good planning & organizational skills.
·         High level of integrity, responsibility & confidentiality. High sense of self-drive and business acumen.
·         Must be aged between 35-45 years.
2.            Legal Officer - Litigation- Salary Grade - FT 5.1 (1 Position)
Job Purpose
To facilitate the litigation processes inline with the prescribed legal framework & timelines and to ensure that legal cases are resolved with mitigated damages to the company.
Key Responsibilities:
·         To receive instructions, peruse files and assess the merits and demerits of each case/ circumstances.
·         To represent the Bank in courts of law.
·         To prepare opinion memos for the Head of Legal to peruse and advise
·         To provide advice on best way to resolve cases without exposing the company's image as well as mitigating its loss.
·         To keep abreast with the latest dynamics in the legal fraternity.
·         To carry out research to enhance and bolster cases for and against Finance Trust.
·         To draft legal pleadings in defense of the company's interests, where court action is preferred.
·         To ensure timely filing of all pleadings.
·         To represent the company in courts of judicature. To attend meetings where any third parties are claiming against Finance Trust.
Minimum Requirements:
·         Honors Bachelors degree in Laws from a recognized university.
·         Diploma in Legal practice from Law development Centre. Three (3) years experience in legal practice gained from a financial institution, corporate company or a busy law firm.
·         Good interpersonal & teamwork skills. Ability to work well under pressure.
·         Good sense of self drive and business acumen. Good personal presentation skills.
·         Must be flexible and willing to frequently travel upcountry.
3. Legal Officer - Securities (1 Position)
Job Purpose
To oversee the encumbrance registration process, loan security movements and the general administration of all loan securities presented to the company.
Key Responsibilities:
·         To receive securities for searches and mortgage registration.
·         To maintain a record in hard and soft copy of all securities received from branches and properly track their movement.
·         To ensure that all securities received are forwarded to the responsible Departmental staff for processing of searches, caveats and mortgage registrations, among other requests.
·         To implement an effective custody & retrieval system of  all loan securities.
·         To receive instructions in regards to retrieval of securities.
·         To prepare and issue Mortgage and Caveat Release letters on demand.
·         To ensure that release letters are signed off by the authorized bank Officials and duly issues as per Finance Trust guidelines.
·         To draft the necessary contracts.
·         To provide legal advice and opinion.
·         To handle staff & customer enquiries in regard to securities.
Minimum Requirements:
·         Honors Bachelors Degree in Laws from a recognized university.
·         Diploma in Legal practice from Law development Centre.
·         Three (3) years experience in legal practice gained in a financial institution, corporate company or a busy law firm.
·         Good interpersonal skills.
·         Ability to work well under pressure. Good personal presentation.
·         Good interpersonal & teamwork skills.
·         Must be flexible and willingness to frequently travel upcountry.
